上海市震旦律师事务所是我国律师制度恢复以后首批成立的，具二十七年历史，实力雄厚、专业法律部门齐全的综合性大型律师事务所。本所前身为成立于1979年的上海第二法律顾问处，后改名为上海市第二律师事务所，1995年改为现名至今。

本所成立以来，本所多次被中华人民共和国司法部命名为“全国法律业务文明窗口”、“全国法律援助先进单位”并多次被评为上海市市级文明单位、上海市先进律师事务所，上海市司法系统先进集体，诚信免检单位。

本所有执业律师及律师助理七十余名，以五名高级律师引领，并拥有一批具备高等法学专业及相关专业学历、精通外语、法律业务造诣深厚的中青年律师。

本所成立二十七年以来承办了一批在上海以及全国有重大影响的案件，本所每年受理各类案件千余件。

本所是上海市第一批被授予涉外法律见证资格和涉外代理资格的律师事务所，曾受委托办理上海市第一个向境外融资借款合同的法律见证。本所也是上海市第一批被授予证券法律服务资格的律师事务所，并具有国有资产产权重组法律事务等其他专业执业资格。

本所设立六个专业法律部门如下：



一、外国投资及知识产权法律事务部：

该部是从事涉外及知识产权法律事务的专业机构，其律师受聘担任“三资”企业和涉外单位的常年或专项法律顾问，参与代理中外合资、中外合作、外商独资企业和技术引进项目的谈判；草拟、审查、见证或处理法律文书；代办经济、知识产权、贸易、金融、税务、保险、技术贸易与转让，租赁、抵押、信托、企业清盘核产、股权变更与转让、招标等法律事务；承办国外、港澳地区委托和介绍的法律事务，并代为联系委托外国、港澳地区律师办理有关法律事务；代理涉外法律事务的仲裁或诉讼等。



二、金融证券、资产重组法律事务部：

本所是中国司法部、中国证监会确认的首批具有从事证券法律业务资格的律师事务所之一，邵曙范、薛勇、苏万东律师被司法部、中国证监会授于从事证券法律业务资格。

本所从八十年代中期开始参与了股份有限公司的筹建、重组，先后为上海兰生股份有限公司、上海轮胎橡胶（集团）股份有限公司等几十家企业的股份制改制及发行、上市A股、B股、H股以及为申银万国、国泰、华夏等证券公司承销股票提供全套法律服务并出具法律意见书。本所还先后担任数十家证券公司的常年法律顾问，承办了大量证券纠纷案件，其中最大的标的达1亿多元。本所还为多家中外银行提供多次法律服务，包括起草、修改、见证国际融资协议，抵押货款协议，购房按揭贷款协议，出口协议，融资租赁协议等。



三、海事海商、保险法律事务部：

该部业务范围是：接受国内外法人、公民的委托，代理海事、海商及保险纠纷的调查、调解、仲裁和诉讼。同时担任国内外贸易、航运及保险等企业及事业单位的法律顾问，办理海损理算、代理船舶估价、检验、拍卖、代办海事声明签证、代理各类保险纠纷等法律事务。



四、房地产法律事务部：

接受国内外法人委托，担任企业常年法律顾问及房地产项目顾问；参与联建、参建、土地批租、土地转让、建筑工程招投标、商品房预售、销售等，指导企业依法进行房地产开发经营活动；协助草拟、审查、修改有关法律文书；提供法律见证，出具法律意见书；担任非讼或诉讼代理，参加调解、仲裁或诉讼。



五、 经济法律事务部：

该部专门从事经济法律事务，受聘担任常年法律顾问。参与各类经济合同（协议）的谈判、见证，起草和修改各种法律文书；代办各类程序性法律事务，诸如工商登记、金融、保险、税务、财产转让等；代理各类经济合同（协议）纠纷的协商、调解、仲裁和诉讼。



六、刑民法律事务部：

接受法人、公民委托，办理各类民事案件（借贷、婚姻、劳动、医疗事故、交通事故等）的诉讼，以及接受刑事自诉案件当事人、公诉案件被告人聘请担任代理人；接受刑事被告人及其近亲属的委托或法院指定，为刑事案件的被告人进行出庭辩护；并接受各类行政案件的代理，参与仲裁、诉讼和接受非讼案件的调解。

1. International Investment & Intellectual Property Affairs Law Department



This department is the legal counsel of many joint ventures and foreign enterprises. It participates in the negotiations of the establishments of joint ventures and sub-companies of foreign enterprises. It drafts, examines, testifies and handles all kinds of related legal documents. It deals with the foreign legal affairs of economy, trade, finance, tax, insurance, assignment of the technology, as well as lease, mortgage, trust, the amendments on assignments of the shares, bidings and etc. It also undertakes the legal affairs entrusted or introduced from HongKong, Macau and foreign countries. 2. Finance & Security Affairs Law Department



This department participates in security legal affairs at the beginning of the establishment of Chinese Security Market since the middle of 1980s. 3. Admiralty Law Department



This department acts as an important role in Shanghai Harbor, especially in collision cases.
